The compilation of all content on this site is the exclusive property of SpokenBuzz and is protected by international copyright laws. All software used on this site is the property of SpokenBuzz and is protected by international copyright laws.
Services & Conditions
SpokenBuzz hereby agrees to provide, and you hereby agree to purchase, from time-to-time, certain services (“Services”). Services shall be ordered by you using the Service Order forms of SpokenBuzz, except as may be otherwise agreed to (each a “Service Order”). Each Service Order shall reference this Agreement and shall be deemed a part of this Agreement when executed by a duly authorized representative of each Party. SpokenBuzz reserves the right to refuse any Service Order submitted by you. Each Service Order shall be in accordance with the provisioning and installation policies, practices, procedures and intervals then in effect, as revised from time to time, for such Services, except as may be otherwise agreed to in writing by authorized representatives of both Parties.
SpokenBuzz shall not be held liable for any delay or failure to provide service(s) at any time. In no event shall SpokenBuzz, its officers, Directors, Employees, Shareholders, Affiliates, Agents or Providers who furnishes services to customer in connection with this agreement or the service be liable for any direct, incident, indirect, special, punitive, exemplary or consequential damages, including but not limited to loss of data, lost of revenue, profits or anticipated profits, or damages arising out of or in connection to the use or inability to use the service. The limitations set forth herein apply to the claimed founded in Breach of Contract, Breach of Warranty, Product Liability, Tort and any and all other liability and apply weather or not SpokenBuzz was informed of the likely hood of any particular type of damage.
SpokenBuzz makes no warranty, express or implied, regarding the condition(s) or fitness of the services offered for any particular use or purpose. As permitted by law, the liability of SpokenBuzz shall be limited to direct damages for any personal or propery injury, and for all other claims to an amount equal to the charge for the affected service(s).
Call Accounting
All billing for calls to and from SpokenBuzz on behalf of the customer are rounded-up and counted in one minute increments.
SpokenBuzz provides prepaid services only. You must keep a positive balance to retain services with SpokenBuzz. You must pay all negative balances immediately. You agree to keep a positive balance in your account at all times and agrees to pay at your agreed upon rate. You agree to pay any and all charges that you incur while using SpokenBuzz's service.
Account Termination and Suspension
You may cancel your account at anytime. However, you will not be entitled to any refund of any unused balance or payments you have already made.
Your account may be suspended or terminated without notice if SpokenBuzz has reason to suspect fraudulent use, including if you supply us with information such as your email address and phone number that does not belong to you. Any unused balance in your account will not be refunded in case of such suspension or termination. SpokenBuzz may also terminate accounts that have been inactive for more than 30-days.
Use of the Services
You shall not tamper with, alter or rearrange the Services or facilities (or those of its suppliers) required to provide the Services, or otherwise abuse or fraudulently use the Services including, using the Services: (a) in any manner which interferes with SpokenBuzz’s facilities (or those of its suppliers), network or equipment, or access thereto by other persons; (b) contrary to reasonable instructions communicated by SpokenBuzz.
Miscellaneous
Mandatory Arbitration and No Jury Trial.
Any dispute or claim between you and us arising out of or relating to the Service will be resolved by arbitration before a single arbitrator administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will take place in California. The arbitrator's decision will follow the plain meaning of the relevant documents, and will be final and binding. Without limiting the foregoing, the parties agree that no arbitrator has the authority to: (i) award relief in excess of what this Agreement provides; or (ii) award punitive or exemplary damages. Judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED. All claims shall be arbitrated individually. You shall not bring, or join any class action of any kind in court or in arbitration or seek to consolidate or bring previously consolidated claims in arbitration. THIS ARBITRATION PROVISION CONSTITUTES A WAIVER OF ANY RIGHT TO A JURY TRIAL AND AN AGREEMENT TO BE SUBJECT TO JURISDICTION IN, AND CONDUCT ARBITRAL PROCEEDINGS IN, CALIFORNIA.
New versions of the Terms of Service.
SpokenBuzz reserves the right to modify these Terms of Service at any time by providing such revised Terms of Service to You or by publishing the revised Agreement on our Website. If You do not wish to accept these revised Terms of Service, You are entitled to terminate Your Account by e-mail to support@SpokenBuzz.com, with effect from the date on which the revised Terms of Service would become effective. Your continued use of the service shall constitute Your acceptance to be bound by the terms and conditions of the revised Agreement.
Adjustment of the service.
SpokenBuzz reserves the right to adjust the service at any time, for example to conform to legal and regulatory obligations. If You do not wish to accept the adjusted service, You are entitled to terminate Your Account by e-mail to support@SpokenBuzz.com, with effect from the date on which the adjusted service will be provided.
